Sayenko Kharenko advises on the sale of Ukrainian subsidiary of Greece’s Alpha Bank

Sayenko Kharenko acted as legal counsel to Alpha Bank A.E., an Athens based bank, on EUR 82 million sale of 100 per cent shares in PJSC “Astra Bank” to a Cyprus based entity affiliated with Mr. Mykola Lagun.

The deal was signed on 18 July 2013 in Kyiv and will be closed later this year as soon as the change of control is approved by the Ukrainian regulatory authorities.

Sayenko Kharenko provided full transactional support, including general advice on Ukrainian banking and corporate law matters, deal structuring, development and negotiation of all transactional documents. The firm’s advice also included consulting the client on drafting the Trademark Assignment Agreement and its further registration.

Sayenko Kharenko has an excellent track-record advising on banking M&A deals in Ukraine. Most recently, the firm advised on the sale of a blocking shareholding in Bank “Kyivska Rus”, acquisition of Kreditprombank, sale of Bank Forum by Commerzbank, acquisition of Volksbank by Sberbank of Russia, sale of Accept Bank to SEB Group and a number of other M&A transactions in the banking sector.

Sayenko Kharenko’s team for the transaction included counsel Alina Plyusch, associates of the corporate and M&A practice groups of the firm and was led by counsel Leonid Antonenko and supervised by partner Vladimir Sayenko.
