Sayenko Kharenko advised a foreign investor on M&A deal in animal feed market

Sayenko Kharenko acted as legal counsel to Nutreco International B.V. (the Netherlands) on M&A deal in the animal feed market and establishment of a joint venture in Ukraine. As a result of the completed transaction, Nutreco International B.V. has indirectly acquired a stake in Dutch Feed LLC, a Ukrainian company with a large sales and distribution network throughout Ukraine.

Sayenko Kharenko provided full transactional support, including legal due diligence, general advice on multiple Ukrainian law matters, deal structuring, obtaining merger clearance from the Antimonopoly Committee of Ukraine, assistance with preparation and negotiation of transaction documents and assistance with closing of the transaction.

For several years, Sayenko Kharenko has been advising extensively on the most challenging and demanding projects involving major Ukrainian agro-industrial companies (Agroton, Allseeds, CHS, Creativ Group, Kernel, Mriya Agro Holding, Myronivsky Hliboproduct, Rise, Ukrros). Recently, we advised on a number of M&A projects in the agricultural sector, including the sale of JSC “Kolos”, a major sunflower oil producer, to Glencore, acquisitions of shareholdings in Ukrros and Allseeds by Kernel, etc.
