Sayenko Kharenko advised on the sale of the Ukrainian subsidiaries of Lafarge SA

Sayenko Kharenko acted as a Ukrainian legal counsel to Lafarge SA, a top-ranked French manufacturer of building materials, in connection with the sale of Lafarge Gips ALC and Lafarge Gips Ukraine LLC, its Ukrainian subsidiaries operating in the gypsum and plasterboard business (the “Ukrainian Subsidiaries”), to Etex Group N.V., a leading international manufacturer of building materials and systems, headquartered in Belgium.

Sayenko Kharenko’s advice included the vendor’s legal due diligence of the Ukrainian Subsidiaries, drafting the transaction documents for the transfer in Ukraine, and negotiating them with the acquirer’s legal counsel, obtaining the merger clearance with the Antimonopoly Committee of Ukraine, etc. Acquisition of the Ukrainian Subsidiaries is a part of the EUR 1 billion acquisition of Lafarge’s European and South American gypsum and plasterboard business by Etex Group, the completion of which took place on 4 November 2011, following finalization of certain transaction details and obtaining clearances from the relevant antitrust authorities.
