Sayenko Kharenko advised Rasec Group on corporate restructuring of the Group’s Ukrainian subsidiaries
Sayenko Kharenko acted as a legal counsel to Rasec Group, one of the European leaders in fixture and fittings for retail outlets (the “Group”) on corporate restructuring of the Group’s subsidiaries in Ukraine and Russia and developing an efficient corporate governance structure. The transaction included four steps and covered five jurisdictions – Ukraine, Russia, France, Luxemburg and the Netherlands.
Along with structuring of transaction and drafting internal corporate documents Sayenko Kharenko provided legal advice on different matters involving corporate, investment, tax and antimonopoly issues related to the corporate restructuring of the Group’s Ukrainian subsidiaries. The transaction involved several law firms acting as legal counsels in foreign jurisdictions: Debevoise & Plimpton LLP on the matters of French and Russian law, Luther on the matters of Luxembourg law and Luminous Tax Matters N.V. in respect of the Netherlands laws.
