Sayenko Kharenko advises on USD 400 million Eurobond issue and related tender offer by Trans-Oil Group

Sayenko Kharenko has acted as Ukrainian legal counsel to Citigroup, ING and Renaissance Capital, joint bookrunners in connection with the issue of USD 400 million 8.45 per cent secured notes due 2026 by Trans-Oil Group of Companies, a vertically integrated agro-industrial holding with operating facilities in Moldova, Ukraine, Romania, and Serbia.

The new issue was coupled with a tender offer launched by the issuer in relation to its outstanding USD 300 million secured notes that were issued in 2019.

Sayenko Kharenko’s team was led by partner Igor Lozenko and included associates Oles Trachuk, Vladyslava Mitsai, and junior associate Oleksandr Motin. Senior associate Anton Kerimov-Varanytskyi advised on tax matters of the deal.
