Sayenko Kharenko advises on USD 550 million Eurobond issue and related tender offer by Trans-Oil Group

Sayenko Kharenko has acted as Ukrainian legal counsel to Citigroup, ING, Oppenheimer, Raiffeisen Bank International, and Unicredit, joint bookrunners, regarding the issue of USD 550 million secured notes due 2029 by Trans-Oil Group of Companies, a vertically integrated agro-industrial holding with operating facilities in Moldova, Ukraine, Romania, and Serbia.

The new issue was coupled with a successful tender offer launched by the issuer regarding its outstanding USD 500 million secured notes issued in 2021. The new deal saw the order book reach USD 1.2 billion—more than double the offering size. The issuance received broad interest due to broad interest from institutional investors, development financial institutions, hedge funds, private banks, and asset managers across North America, Europe, and Asia.
