Sayenko Kharenko – legal counsel on obtaining merger clearance for acquisition of one of the largest Russian power-plant engineering company

Sayenko Kharenko’s antitrust team has provided legal assistance in merger clearance with the Antimonopoly Committee of Ukraine (the "AMC") for the acquisition of OJSC "EnergoMachinostroitelny Alliance" ("EMAlliance"), Russian power-plant engineering company, by OJSC "Power Machines" ("Power Machines"), a holding company of the Power Machines group of companies.

The integration between EMAlliance and Power Machines is a logical step for both parties and it will provide the companies with additional development prospects. This will eventually enable them to implement larger projects through supplying complete sets of equipment for boiler and turbine islands, and will also contribute to maximizing profits.

EMAlliance is a one of the largest Russian power-plant engineering companies with international experience and expertise in the field of design, production and complete shipment of boiler and turbine islands for thermal power industry, including execution of turn-key (EPC) contracts.

Power Machines is the leading Russian producer and supplier of end-to-end products and solutions for the power-plant industry, including engineering, production, supply, assembly, service and equipment upgrades for thermal, nuclear, hydraulic and gas-turbine power plants.

After the review of the proposed transaction, the AMC concluded that its implementation neither poses threats to competition nor significantly limits competition on any product market in Ukraine.
