Sayenko Kharenko – legal counsel on obtaining merger clearance for acquisition one of the largest railway operators in Russia

Sayenko Kharenko’s antitrust team has provided legal assistance in merger clearance with the Antimonopoly Committee of Ukraine (the “AMC“) for acquisition of a block of shares of OJSC “Pervaya Gruzovaya Companiya” (“PGC“), Russian railway operator, by LLC “Nezavisimaya Transportnaya Companiya”(“NTC“), a company of the UCL Holding group of companies.

The acquisition of PGC would create one of the main players of Russian market of railway freight transportation.

PGC is one of the biggest operators of rail freight transportation in Russia.

NTC is a company of the UCL Holding group of companies. The company provides a full range of freight transportation by rail, sea and river transport, cargo handling at sea and river ports, chartering and insurance of goods in railway and multimodal transportation.

After the review of the proposed transaction, the AMC concluded that its implementation neither poses threats to competition nor significantly limits competition on any product market in Ukraine.

Sayenko Kharenko’s competition team for the current transaction included counsel Dmitry Taranyk and associates Maksym Nazarenko and Olga Ivlyeva, and was led by partner Volodymyr Sayenko.
