Sayenko Kharenko’s counsel spoke at the UBA Corporate Law Forum

On 25 October 2013, Sayenko Kharenko’s corporate and M&A counsel Leonid Antonenko was invited to speak at the VII Annual Corporate Forum, hosted by the Ukrainian Bar Association (UBA) and supported by Charitable organization “The Commercial Law Center” and the US Agency for International Development (USAID).

The speakers of this year's forum focused on modernization of the regulatory environment of joint stock companies and alternative draft laws on limited liability companies.

In his report Leonid Antonenko addressed the issues of inefficiency of the rules aimed at protecting minority shareholders, poor demand for these rules from all corporate law stakeholders operating in the environment which has seen no genuinely public companies and the need to shift a legislative focus from the rights of minority shareholders to simplification of corporate procedures (e.g. through abandoning a requirement to elect the boards through cumulative voting). Special emphasis was made on the inadequacy of the imperative method of legislating in the area of company law and the need to give broad way to default rules which the shareholders can amend at their discretion.
