Mykhailo Grynyshyn more than 5 years of professional experience and specializes in M&A, corporate governance and general corporate matters. His experience includes advising clients on sophisticated M&A public deals in the real estate, banking, FMCG, insurance, IT, pharmaceutical and other sectors. Mykhailo also has extensive experience in participating in due diligence of companies across various sectors and industries, drafting transactional documents and providing corporate structuring advice.
Most recently, Mykhailo advised:
- VR Capital on the acquisition of 50% of shares in Nicken Holdings LTD from Investment Capital Ukraine (ICU). Sayenko Kharenko’s involvement in this transaction included legal due diligence of the project companies, participation in negotiation of the transactional documents, and obtaining a merger clearance from the Antimonopoly Committee of Ukraine;
- VR Capital on the establishment of a joint venture with Volterra Energy Group, the developing partner. Sayenko Kharenko’s involvement included advice on the structure of the transaction, legal support during the negotiation and conclusion of the shareholders’ agreement, legal due diligence of project companies, and preparation of documents required for their acquisition by the joint venture.
- Auchan Retail Ukraine on acquisition of Karavan Hypermarket chain. Sayenko Kharenko provided full transactional support, including general advice on corporate law and regulatory matters, two-stage legal due diligence, structuring of the transaction, preparing and negotiating all transactional documents and operational documents related to the hypermarkets, assisted with merger clearance and extensive pre-completion and completion work.
