General info

Mykhailo Grynyshyn has more than 10 years of professional experience and specialises in M&A, corporate governance and general corporate matters.

Mykhailo is advising supervisory and/or management boards of all state-owned banks in Ukraine: Privatbank, Ukreximbank, Oschadbank, Sense Bank and Ukrgasbank, as well as other private and state-owned clients, on corporate governance matters. He has also advised EBRD, IMF, World Bank and the Ministry of Finance of Ukraine on corporate governance reform in Ukrainian state-owned banks.

His experience includes advising clients on sophisticated M&A public deals in the financial, energy, IT, telecom, and other sectors. Mykhailo also has extensive experience in participating in due diligence of companies across various sectors and industries, drafting transactional documents and providing corporate structuring advice.

Most recently Mykhailo advised on the following M&A deals:

  • CRH, an international group of diversified building materials businesses which manufacture and supply a wide range of products for the construction industry, on the acquisition of a majority stake in and establishment of a joint venture with Astor, which owns a couple of ready-made concrete plants in the Kyiv area. Mykhailo provided advice on complex transaction structuring, supervised legal due diligence and drafting of the transaction documents, and provided assistance with verification of satisfaction of conditions precedent and completion of the transaction;
  • Elementum Energy Limited, a subsidiary of VR Capital focused on investments into renewable energy, on a number of projects, including:
    • buy-out of the minority stake of its partner KNESS in a number of project companies that have successfully developed four solar power plants in Ukraine with the total installed capacity of 151 MW. Mykhailo’s involvement in this transaction included legal support during the negotiations and conclusion of the share purchase agreement and completion assistance. Previously Mykhailo advised VR Capital of the establishment of the joint ventures, with his involvement including advice on the structure of the transaction, legal support during the negotiation and conclusion of the sale and purchase and shareholders’ agreements and legal due diligence of project companies;
    • acquisition of a majority stake in Lymanska Vitroelektrostantsiia LLC from Ukraine Power Resources. Lymanska Vitroelektrostantsiia LLC is a project company that is developing a wind park exceeding 100 MW near Odesa, Ukraine. Mykhailo’s involvement in this transaction included legal support during the negotiations and conclusion of the share purchase agreement and shareholders’ agreement, as well as advice on various corporate law matters;
    • buy-out of the minority stake of its partner Volterra Energy Group in a joint venture company that had successfully developed ten solar power plant projects in Ukraine with the total installed capacity of 147 MW. Mykhailo’s involvement in this transaction included legal support during the negotiations and conclusion of the share purchase agreement and completion assistance. Previously Mykhailo advised VR Capital of the establishment of this joint venture, with his involvement including advice on the structure of the transaction, legal support during the negotiation and conclusion of the shareholders’ agreement, legal due diligence of project companies, and preparation of documents required for their acquisition by the joint venture company;
  • Volia, a leading Ukrainian Pay-TV and broadband service provider, on sale by its holding company Volia Limited of the Ukrainian Volia Group companies to Datagroup. Mykhailo supervised and coordinated vendor due diligence, assisted in transaction structuring, drafting and negotiating of the sale and purchase agreement, supported satisfaction of conditions precedent, and provided assistance with the completion of the transaction.
